User Registration and Obligations

Users must comply with the terms and conditions and policies of both Binge AI and the YouTube platform. Users are responsible for maintaining the confidentiality of their account information and for all activities under their account.

Content and User Content

• Definitions: For the purposes of these Terms, "Content" encompasses texts, graphics, images, music, software, audio, video, works of authorship, and other materials provided through the Services. "User Content" refers to any Content provided or made available by users through the Services.

• Content Ownership, Responsibility, and Removal: Binge AI claims no ownership rights over User Content. Users retain any rights to use and exploit their User Content. Binge AI and its licensors hold all rights, titles, and interests in the Services and Content, excluding User Content. Users agree not to infringe on copyrights or trademarks within the Services or Content.

• Rights in User Content Granted by You: By providing User Content through the Services, you grant Binge AI a worldwide, royalty-free license to use, modify, and distribute your User Content in connection to operating the Services. You warrant that you own or have the necessary rights to your User Content, ensuring no infringement or violation of laws.

• Highlights: Using certain features may involve the creation of video highlights ("Highlights"). By opting into such features, you grant Binge AI a license to use the recorded Highlights for service enhancement, marketing, and development.

• Rights in Content Granted by Binge AI: Binge AI grants you a personal, non-commercial license to access and use the Content in accordance with these Terms.

Subscription Terms

Upon subscribing to the Services, users will be automatically charged the applicable fee monthly from the date of initial payment. Users may cancel their subscription at any time, with access to subscription benefits until the end of the billing month. Binge AI reserves the right to modify or amend subscription plans and prices. Any price changes will be communicated in advance, and continued use of the Services after price adjustments constitutes acceptance of the new terms.

Termination of Service

Binge AI reserves the right to terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Specifically, termination for cause may occur in instances of abuse of the product, its services, promotions, or offerings, or in cases of fraud. Upon termination, your right to use the Services will cease immediately. Binge AI may also discontinue providing the Services at any time for any reason with or without notice. In the event of such termination, the provisions of these Terms that by their nature should survive termination shall remain in effect, including, but not limited to, ownership provisions, warranty disclaimers, and limitations of liability.

Limitation of Liability and Disclaimers

Binge AI and its affiliates, directors, officers, employees, agents, suppliers, or licensors shall not be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed its essential purpose. Binge AI does not warrant the accuracy, completeness, or usefulness of any information provided on the Services and under no circumstances will Binge AI be responsible for any loss or damage resulting from reliance on information or other content posted on the Services.

Dispute Resolution

Any disputes arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions. You agree to the exclusive jurisdiction and venue of the courts located in Singapore for any legal proceedings related to these Terms or the Services. Before filing a claim against Binge AI, you agree to try to resolve the dispute informally by contacting harmonein2023@gmail.com. We'll try to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 30 days of submission, you or Binge AI may bring a formal proceeding.
